  2. Drafting MoA & AoA: Prepare the Memorandum & Articles of Association; for public companies, clauses for share capital and public subscription are required.
  3. SPICe+ Filing: Fill SPICe+ Part B (incorporation) with details of directors, members, capital and attachments.
  4. Affix DSC & DIN: Sign incorporation documents with DSCs and include DINs for directors.
  5. Additional Filings (if public offer is intended): Prepare prospectus, file with ROC/SEBI as applicable and comply with statutory disclosure norms.
  6. Obtain Certificate: On approval, ROC issues Certificate of Incorporation; PAN/TAN for the company are obtained, and further compliance (ROC filings, statutory registers) must be maintained.
